Share Register • UBO • KYC

These three concepts are related, but they do not mean the same thing.

  1. Share Register (Aktienbuch)

This is the internal register of an AG showing the holders of registered shares. It mainly answers the question: “Who legally holds the company’s shares?”

  1. UBO – Ultimate Beneficial Owner

This is the ultimate beneficial owner: the natural person who, in the final analysis, owns or controls the company. The UBO may be a direct shareholder, but may also stand behind a holding company or another company.

  1. KYC – Know Your Customer

This is the procedure used to identify and verify the customer. It may include, in particular, an identity document, address, information about the company, authorised signatories, the shareholder structure and, where required, the UBO.

From May 2026, it is not the Swiss VAT rate that is changing, but the way to access the online VAT return. The FTA will discontinue the “VAT Return easy” service. After that, VAT returns will only be submitted via “VAT Return pro” in myESTV / myAFC.

In addition, registration and login via AGOV will become mandatory from 31 October 2026. CH-Login will be discontinued at the end of 2027.

In practical terms:
It is better to prepare early:
set up your AGOV access once, activate myESTV, and use VAT Return pro for future filing periods.

🔐 AGOV login:
There are two main options:

  • 📱 AGOV access app on your smartphone
  • 🔑 FIDO2 security key (USB)
    (from around CHF 19 at Galaxus.ch)

Through your online account, you can also manage your VAT more effectively in case of difficulties and avoid 📩 reminders or ⚠️ debt enforcement proceedings.

🕒 a) Request a deadline extension online
If you need more time to submit your VAT return, you should request an extension online as quickly as possible.
A 📬 code sent by post can then be entered in your account.

💳 b) Request an instalment payment plan online
If needed, you can also apply online for payment by instalments / a payment plan.

💡 Important:
If you act early instead of waiting and reacting too late, you can avoid loss of time, unnecessary effort, and extra costs.

Tax in Zug

Zug, a Swiss canton known for its advantageous tax system, has recently enhanced its appeal to businesses through tax reforms that came into effect on January 1, 2024. These reforms, strongly supported by the local electorate with over 72% of the votes, aim to strengthen the canton’s competitiveness and attract international investments, focusing on the benefits for businesses.

One of the key changes was the selective adjustment of income tax rates, making Zug even more attractive for businesses looking to optimize their tax burden.
