General Terms and Conditions

1. Scope
These General Terms and Conditions govern the contractual relationship between p-bridge GmbH, Baarerstrasse 79, 6300 Zug (“p-bridge”) and its clients. They apply to all services provided by p-bridge, in particular company domiciliation, mail management and mail digitisation, telephone services, fiduciary services and project management. Any deviating agreements must be made in writing.
2. Conclusion of contract
The information on this website, in particular service descriptions and prices, is non-binding and does not constitute an offer. A contract is concluded when p-bridge confirms an order or enquiry in writing or begins to provide the service. There is no entitlement to the conclusion of a contract; p-bridge may decline an engagement without giving reasons.
3. Services
The scope of services follows from the relevant agreement or order confirmation. p-bridge provides its services with the diligence of a proper agent. Unless otherwise agreed, p-bridge does not owe a specific result but the careful performance of the mandate.
p-bridge is entitled to engage third parties in order to perform its services.
4. Company domicile
Where p-bridge provides a domicile address, the client may use it exclusively for the agreed company and the agreed purpose. The address does not create any lease or sublease of premises.
The client is responsible for complying with the legal provisions applicable to them, in particular for the correct entry in the commercial register and the proper management of the company. Mere domiciliation does not mean that p-bridge assumes any corporate body function.
5. Prices and payment
The agreed prices apply. Prices are in Swiss francs; value added tax is shown separately where due. Recurring services are invoiced in advance.
Invoices are payable within 30 days of the invoice date without deduction. In the event of late payment, p-bridge is entitled, after a prior reminder, to suspend its services, in particular mail forwarding and the use of the domicile address.
6. Term and termination
Unless otherwise agreed, continuing services are concluded for one year and are tacitly renewed for a further year unless terminated in writing three months before expiry.
Upon termination of a domiciliation relationship, the client must immediately arrange for the change of the address entered in the commercial register and notified to third parties. Fees already paid are not refunded.
7. Client’s duties to cooperate
The client shall provide p-bridge with all information and documents required for the provision of the services in good time and in full, shall keep their own contact details up to date and shall notify any changes without delay. The client shall ensure that the use of the services does not infringe applicable law.
8. Liability
p-bridge is liable for damage caused by intent and gross negligence. Liability for slight negligence as well as for indirect damage, consequential damage and loss of profit is excluded to the extent permitted by law.
p-bridge is not liable for delays, losses or damage attributable to postal service providers, courier services or other third parties, nor for interruptions due to force majeure.

9. Confidentiality and data protection
p-bridge treats all client information as confidential. The processing of personal data is governed by our privacy policy. Statutory duties to provide information to and notify authorities remain reserved.
10. Amendments to these terms
p-bridge may amend these terms at any time. The version published on this website at the time the contract is concluded is the applicable one. Changes are communicated to the client in an appropriate form.
11. Severability
Should individual provisions of these terms be invalid, the validity of the remaining provisions remains unaffected.
12. Applicable law and place of jurisdiction
The contractual relationship is governed exclusively by Swiss law. The exclusive place of jurisdiction is Zug, Switzerland.
